Terms of Service | Master Service Agreement

This Master Service Agreement ("Agreement") governs the relationship between Deploy8, Inc. ("Deploy8") and the entity procuring services ("Client"). By initializing a Deployment, you accept these protocols.

1. Entity Definitions

For clarity, we define the operational roles within our ecosystem as follows:

2. Scope of Service

Deploy8 operates as a managed service layer. We are not a traditional staffing firm, nor are we a freelance marketplace.

Managed Output: We are responsible for the quality of the Pod's output. If a Pod underperforms, Deploy8, Inc. is responsible for swapping that unit out at no additional cost to the Client.
Tools & Access: You agree to provide the Pod with necessary access to your technical stack (AWS, GitHub, HubSpot, etc.) to perform the defined Scope of Work.

3. Intellectual Property (IP)

This is a "Work Made for Hire" agreement.

Upon full payment of the applicable invoice:

Client Ownership: You own 100% of the code, designs, copy, and strategies produced by the Pod.
No Vendor Lock-in: We do not retain rights to your source code or ad accounts. If you leave, you take everything.
Background IP: Deploy8 retains ownership of its pre-existing internal tools (e.g., our proprietary reporting dashboards), but grants you a perpetual license to use the output generated by them.

4. Billing & Sprints

We operate on a prepaid Sprint model to ensure high-velocity execution.

Payment Terms: Invoices are issued 5 days prior to the start of a Service Period (Month or Sprint). Payment is due upon receipt.
Pause Protocol: If payment is not received by Day 1 of the Sprint, work is paused immediately to protect the Pod's capacity.
Refunds: Due to the allocation of human capital, we do not offer refunds for weeks already worked. However, you may cancel future billing cycles with 14 days' notice.

5. Non-Circumvention

CRITICAL PROTOCOL The value of Deploy8 is our curation and management of elite boutique agencies. You agree not to bypass the Deploy8 platform to hire our Partner Agencies directly.

For a period of 24 months following the termination of this Agreement, Client agrees not to directly solicit, employ, or contract with any Agency Pod or individual introduced via Deploy8.

Buy-Out Clause: If you wish to hire a Pod directly and remove Deploy8 from the loop, you may do so by paying a "Placement Fee" equal to 25% of the Pod's annualized contract value.

6. Termination

We believe in flexibility. There are no long-term handcuffs.

Client Termination: You may terminate this agreement at any time with 14 days' written notice via email or Slack.
Deploy8 Termination: We reserve the right to terminate service if the Client creates an abusive environment for the Pod or fails to pay invoices.
